The following Service Specific Terms relate to and supplement the Agreement. Capitalized terms used but not defined in these Service Specific Terms will have the meanings given to them in the Agreement.

  1. TERMS FOR SPECIFIC EVERLAW FUNCTIONALITY.

    1. Suspended Data. Suspended data is not accessible by the Customer during the period of suspension.

    2. Early Case Assessment (ECA). Customer can promote ECA data to active data at any time. Customer Data can be transferred from an ECA project to one or more review projects anytime at Customer's discretion. If a Document is in both an ECA project and a review project simultaneously, it will be billed at the Rate per GB for active data only.

  2. EVERLAW AI.

    1. General. Certain products and features within the Service may include, or provide access to, Everlaw AI. Customer’s use of Everlaw AI is optional. Everlaw’s Documentation provides more information about the approach Everlaw takes with Everlaw AI features, such as at https://support.everlaw.com/hc/en-us/categories/17379639431963-Everlaw-AI-Assistant.

    2. Disclaimers. Customer, or the applicable Reseller, acknowledges that it and Authorized Users are responsible for: (A) configuring its organization’s settings, permissions, and other administrative controls governing Everlaw AI; and (B) obtaining and maintaining all the necessary consents in connection with its use of Everlaw AI, including any required disclosures of use of artificial intelligence in connection with any matter.

    3. Everlaw AI Enablement. Administrators may have administrative controls over Everlaw AI within their organization, as further described in the Documentation.

    4. Everlaw AI Billing. Certain Everlaw AI features are offered on a credit-based system, with the relevant number of credits detailed in the Service. From time to time, Everlaw may release new Everlaw AI functionality, which will be described in the Documentation.

    5. Everlaw AI Credits. Customer may purchase or receive prepaid AI credits, and/or consume AI credits on-demand. Available prepaid credits will always be consumed prior to on-demand credit usage. Any unused prepaid credits will expire on the applicable End Date. No refunds will be given for unused prepaid credits. Any usage beyond any available prepaid credits will be billed monthly in arrears based on the price for an on-demand AI credit, as may be described in an Order Form or in the Service, and the number of credits for each task performed. Price per on-demand credit is as stated in the Order Form or, if none, as presented in the Service.

  3. THIRD-PARTY PRODUCTS.

    1. General. If Customer or Authorized User chooses to use any Third-Party Products with the Service or in combination with the Service, Everlaw will not be responsible for the delivery, quality, or timeliness of such Third-Party Product.

    2. Enabling Third-Party Products. Customer may choose to use the Service with supported Third-Party Products. By enabling a Third-Party Product, Customer instructs Everlaw to exchange Customer Data with it as needed for the integration. Such exchange is not a breach of Section 7 (Confidentiality) of the Terms, and the provider of the Third-Party Product is not Everlaw’s Sub-processor. Customer’s use of Third-Party Products is subject to the relevant provider’s terms. Everlaw does not control, guarantee ongoing compatibility with, or assume liability for any Third-Party Products, and Everlaw’s warranties, indemnities, and data-handling commitments do not apply to Third-Party Products.

    3. API and Connector Access. Everlaw may provide APIs, connectors, or protocol servers (such as MCP servers) that let Customer connect Third-Party Products to the Service. Customer is responsible for (A) the credentials and tokens it issues, (B) the permissions granted to each connected application, and (C) all actions taken and data accessed through those connections, which are deemed taken by Customer. Everlaw’s commitments about Everlaw AI, including in Section 8.5 (Everlaw AI) of the Terms, do not apply to Customer Data after it is sent to a Third-Party Product. Everlaw may impose rate limits and may suspend or revoke any connection that threatens the security or performance of the Service.

  4. GOOGLE CLOUD TRANSLATION.

    1. Customer’s use of Google’s Cloud Translation product within the Service is subject to the terms and conditions stated at https://docs.cloud.google.com/translate/attribution#disclaimer, including that the “[…] SERVICE MAY CONTAIN TRANSLATIONS POWERED BY GOOGLE. GOOGLE DISCLAIMS ALL WARRANTIES RELATED TO THE TRANSLATIONS, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF ACCURACY, RELIABILITY, AND ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT.”
